Company Background
The Company was incorporated on 11 August 1993 under the name HBM Print Pte Ltd. Prior to incorporation, it was the print division of HBM Media Hldgs Pte Ltd, formerly known as Scantrans Pte Ltd. HBM Media Hldgs remains its holding company. The principal activities of the Company are colour separation and printing. Its 60 percent subsidiary, HBM Print Pty Ltd, incorporated in Australia, is engaged in commercial printing.
In 1966, the Company acquired the subsidiary, WOG Intl Co Pte Ltd group, which engages in trading, supply, installation and commissioning of engineering equipment to the water, oil and gas industries.
On 3 June 2004, the Company was granted a General Insurer Licence by MAS to carry on General Insurance Business in Singapore. On 4 June 2004, the Company acquired the insurance business of The Nanyang Insurance Company Limited ("TNICL", now known as SHC Investments Ltd) and sold its entire shareholding in its subsidiary company SHC Engineering Pte Ltd and SHC International Pte Ltd to TNICL and its 30 percent interest in TNICL to See Hoy Chan Holdings Pte Ltd. As a result, its principal activity has been changed to that of a General Insurer.
The name of the Company was changed from HBM Print Ltd to SHC Capital Limited wef 14 October 2002.
Following a Restructuring Exercise of SHC Capital Limited by way of a Scheme Of Arrangement involving an exchange of 1 New SHC Asia Share : Every 1 SHC Capital Share held by each SHC Capital Shareholder as at the Books Closure Date, SHC Capital's listing status will be transferred to SHC Asia. Upon completion, SHC Capital Limited will become a wholly-owned subsidiary of SHC Asia.SHC Asia's principal business activities will be that of investment holding, central planning and oversight, fund raising and capital allocation and provision of management services to its subsidiary, being SHC Capital which will continue to operate the Insurance Business.
Upon completion of acquisition of 100% equity interests in MM Myanmar Pte. Ltd., the Company has changed its name from “SHC Capital Asia Limited” to “Memories Group Limited” with effect from 26 Dec 2017 to better reflect the new identity of the Enlarged Group. The Enlarged Group will be principally involved in tourism-related businesses focused on Myanmar, including the management and operation of hotels, resorts and leisure attraction assets and investments in assets and businesses in the tourism-related sector.
Memories Group is a tourism company in Myanmar that operates an “Integrated Tourism Platform” which synergistically connects all its businesses under the group to provide a seamless, one-of-a-kind experience aimed at creating lasting memories.
Trading under the new name with effect from 29 Dec 2017.
